Scope of Services
MSMA provides a range of professional services, including but not limited to:

- Corporate Legal Services
The scope of each engagement will be clearly outlined in a signed agreement between MSMA and the Client. MSMA reserves the right to modify or discontinue any services at any time, with reasonable notice to the Client.
Professional Responsibilities
MSMA is committed to providing professional, timely, and accurate services to each Client. While we strive to ensure the highest standards of accuracy, MSMA is not responsible for any errors or omissions in information provided by the Client. The accuracy of the services we provide depends on the accuracy and completeness of the information provided by the Client.
Client Responsibilities
Clients are responsible for providing complete, accurate, and timely information necessary for MSMA to perform our services. Failure to provide such information may result in delays or inaccuracies in the services rendered. Clients are also responsible for complying with all applicable laws and regulations related to their business or personal affairs, including but not limited to tax filings, financial reporting, and legal compliance.
Fees and Payment Terms
- Fees: Fees for services will be outlined in the engagement agreement between MSMA and the Client. Fees are based on the scope, complexity, and duration of services provided.
- Payment Terms: Payments are due as outlined in the engagement agreement. Invoices will be issued periodically, and payment terms will generally be within 30 days of the invoice date, unless otherwise specified.
- Late Payments: Late payments may incur interest or penalties as outlined in the engagement agreement. MSMA reserves the right to suspend services until payment is received in full.
Confidentiality
MSMA is committed to maintaining the confidentiality of all Client information. We will not disclose any confidential information to third parties without the Client’s express written consent, except as required by law or in the course of providing services (e.g., filing tax returns, presenting audit reports). MSMA adheres to strict confidentiality policies to protect sensitive financial, legal, and personal data.
Intellectual Property
All content on the MSMA website, including text, graphics, logos, and software, is the property of MSMA or its licensors and is protected by intellectual property laws. Clients may not use, reproduce, or distribute any content from the MSMA website or materials provided during the course of services without prior written consent from MSMA.
Limitation of Liability
MSMA will not be liable for any indirect, consequential, incidental, or punitive damages arising from the use of our services or website.
In no event shall MSMA’s total liability for any service exceed the amount paid by the Client for the specific service in question. While we strive for accuracy, MSMA will not be held liable for any errors, omissions, or delays caused by the Client’s failure to provide accurate or timely information.
Termination of Services
Either MSMA or the Client may terminate the services agreement at any time, with reasonable notice. If MSMA terminates the engagement due to non-payment or breach of terms, all outstanding fees will become immediately due and payable. Upon termination, MSMA will provide the Client with all completed work up to the termination date, and any remaining services will be discontinued.

The MSMA website may contain links to third-party websites or services. These links are provided for convenience only and do not imply endorsement or responsibility for the content or services provided by third parties. MSMA is not responsible for the privacy practices or content of any third-party websites.
Governing Law and Jurisdiction
These Terms of Service are governed by, and construed in accordance with, the laws of the Philippines. Any disputes arising from or related to these Terms of Service provided by MSMA will be subject to the exclusive jurisdiction of the courts in the Philippines.
Force Majeure
MSMA will not be liable for any delays or failure to perform services due to circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, governmental regulations, or disruptions in communication systems.
Changes to Terms of Service
MSMA reserves the right to update or modify these Terms of Service at any time. Any changes will be effective immediately upon posting on the MSMA website. Clients are encouraged to review these Terms of Service periodically to ensure they are aware of any updates.
